Bahamas On The Fly Charter Participation Memorandum Charter Operators and Authorized Pilot Representatives
Draft for legal review • Version charter 2026 10 07 v1
This memorandum governs a free charter-service listing and referral relationship between the independent Bahamas On The Fly Florida LLC identified at countersignature (the Platform Operator) and the charter operator identified below, and the charter operator identified below. A pilot may sign only if authorized to bind that operator. Complete the fields and obtain appropriate aviation and legal review before signing.
1 Parties and acceptance The parties intend this memorandum to be binding when both sign. Online submission records the applicant’s electronic signature and offer to participate, not Platform Operator’s countersignature or approval. Listing publication does not replace countersignature. Effective date: [date of the last signature] or the date of the last signature.
2 Listing and referral scope Participation is nonexclusive and free. No listing fee, charter booking fee, commission, exclusivity or guaranteed referrals applies under this memorandum. The Platform may display approved flight information and pass enquiries to the Operator. Customers contract with and pay the actual authorized Operator directly. The Platform does not sell tickets, collect charter fares, operate aircraft, dispatch flights or act as a charter broker under this agreement. A change to that scope requires a separately signed agreement and legal review.
3 Authority and accurate information The Operator identifies the actual certificate holder operating each flight and supplies accurate routes, aircraft, permitted capacity, departure airports, baggage and fishing-equipment limits, contact details and pricing conditions. Quotes disclose currency, taxes, airport charges, deposits and other mandatory costs. An enquiry is not a confirmed flight; the Operator provides confirmation and customer terms directly. Material changes require customer acceptance.
A pilot licence alone does not establish authority to offer commercial charter flights. The Operator must maintain the operating certificates, economic authority, route permissions, foreign-operator approvals and insurance applicable to its operations, and ensure aircraft and crew are authorized for the offered service. It supplies evidence on request and promptly reports suspension, expiry or material changes. Platform approval does not certify regulatory compliance.
4 Operational control and passenger safety The actual Operator retains operational control, responsibility for airworthiness, maintenance, qualified crew, flight planning, lawful passenger capacity, weight and balance, and required passenger briefings. The pilot in command retains safety decisions under applicable law. Neither the Platform nor a customer must be pressured to accept operational control or disguise a commercial flight as a private flight.
The Operator may delay, reroute or cancel when conditions are unsafe or legal requirements cannot be met. It promptly informs passengers and the Platform of affected referrals, offers the remedies required by the customer contract and applicable law, and reports serious incidents to the competent authorities. No party guarantees flight availability, weather or connections.
5 Customer payments cancellations and complaints Before taking payment, the Operator gives customers its written booking, cancellation, weather, no-show and refund policies and identifies who receives the money. The Operator administers customer payments and refunds and resolves flight-service complaints. The Platform assists with referral communications but does not hold customer charter funds. Applicable consumer rights remain unaffected. Substitution of the operating carrier or material itinerary requires disclosure and customer agreement.
6 Content privacy and responsibility The Operator retains its content rights and grants a nonexclusive royalty-free licence for approved names, logos, photographs and descriptions to promote its listing during participation. It confirms it has the necessary permissions. The Platform presents approved information accurately and may suspend inaccurate, misleading or unsafe listings. Neither party may falsely imply regulatory endorsement or broader authority.
Each party uses shared customer information only for the requested referral, flight arrangements, support and legal obligations, with reasonable security and limited retention. Unrelated marketing requires a lawful basis. Each promptly notifies the other of a suspected breach affecting shared information and makes legally required notifications. Nonpublic business and payment information remains confidential, except authorized or legally required disclosures.
Each party is responsible for loss caused by its own breach, negligence or wilful misconduct, subject to applicable law. This memorandum does not waive mandatory rights, exclude liability that cannot legally be excluded, or impose an unlimited indemnity. The parties remain independent; neither may bind the other.
7 Term notices and disputes Either party may terminate with thirty days’ written notice. Immediate suspension is permitted for a credible safety risk, unlawful activity, fraud or loss of required authority. Other material breaches receive ten business days to remedy where possible. Existing customer contracts and refund obligations survive termination. Promotional use stops and the listing is removed within a reasonable period, except necessary records.
Changes require both parties’ written agreement. Notices go to the listed emails with acknowledgement or evidence of delivery. The parties first attempt good-faith resolution for thirty days and may agree to mediation. Governing law and court venue must be completed below. Mandatory aviation and consumer laws still apply. No arbitration is imposed. Electronic signatures and counterparts may be used to the extent lawful.
Operator Schedule and Signatures Attach current supporting documents. Complete governing law and venue before execution. This memorandum and the completed schedule form the participation agreement; website changes cannot amend it unilaterally.
